Terms of Service
Runwell construction management software · Last updated October 20, 2026
These terms are the agreement between Runwell LLC, a New York limited liability company ("Runwell", "we", "us"), and the business that signs up for Runwell ("you"). By creating an account, entering a payment method, signing an order form or using Runwell, you agree to them. Prices, included allowances and rates are set in your plan or signed order form, not in these terms. If you have a signed order form with Runwell, it controls where it differs from these terms.
The service
Runwell is a web-based construction management application for your business's own team, hosted by Runwell and reached at a Runwell web address. It includes customers, estimates and change orders, projects, scheduling, job costing and pay, a team time clock, to-dos, calendar sync, phone notifications, data import, AI estimate drafting and the Ask Runwell assistant, online invoice payments, a connection to your existing company email account, storage for uploaded photos and files, and, if you connect your own Google account, Google Sheets exports and nightly backups to your Google Drive. It also includes an AI phone agent and a business phone number with calling; texting is added once carrier registration is approved (see Text messaging).
Runwell does not include your public website, which is separate and is not Runwell's responsibility. Features can change over time as we improve the product. We will tell you before removing something you rely on.
Your account and your team
- You can add unlimited user accounts for your own owners, employees and contractors, subject to reasonable fair-use and security limits.
- You are responsible for the people you give access to, for what they do in your workspace, and for keeping passwords private.
- You must be a business and at least 18 years old to sign up.
- Tell us right away if you think someone got into your account who should not have.
Setup and support
- Standard onboarding includes one import of your existing customer and project lists from spreadsheet files you provide.
- Support is by email and phone during our business hours (Monday to Friday, 9 am to 5 pm Eastern). Your plan includes routine changes, such as business hours, greetings, FAQs, call routing, services lists, estimate templates and settings, up to the number in your plan or order form.
- Cleaning up large or inconsistent data, new integrations, major call-flow redesigns, additional AI agents and custom features are quoted separately and done only with your written approval.
Plans, billing and renewal
- Your plan renews automatically each billing period (monthly unless your plan or order form says otherwise) until you or we end it as described in Cancelling. If your order form has a first term, such as 12 months, it then continues month to month, and the first term is not a minimum payment commitment unless your order form clearly says so.
- The subscription is billed in advance at the start of each billing period. Usage above your plan's included allowances is billed in arrears on the next bill.
- We either charge your saved payment method or email you an invoice with a secure Stripe payment link. Invoices are due within 15 days of the invoice date unless your order form says otherwise. You can pay by card or bank transfer (ACH) through Stripe. We do not accept Zelle, cash or checks unless we agree in writing. Runwell does not store your full card or bank account number.
- A setup fee, if your plan has one, is charged once when you sign up.
- Taxes: prices do not include sales, use or similar taxes. We charge New York State and local sales tax on taxable services at the rate set by the applicable tax jurisdiction and show it as a separate line on your invoice. You pay that tax, and we collect and send it to the state as the law requires.
- Price changes: any price guarantee in your plan or order form is honored for its full period. Otherwise, we will give you at least 30 days' written notice before changing a price or rate. A change applies only from the next billing period after the notice period, never to past use, and does not need a new signed agreement. You can cancel instead, as described below.
- Late payments: undisputed amounts not paid when due may accrue a late charge at the rate in your plan or order form, never more than the law allows. If an undisputed invoice is more than 30 days late, we may limit your workspace to read-only access after giving you 7 days' written notice, until it is paid.
AI phone minutes
- Your plan may include a monthly number of AI phone minutes. Minutes are the time the AI phone agent spends on calls for you, measured to the second by our call system. They include voicemails the agent takes and the time on a call before it is transferred, but not time after a transfer, calls that fail to connect, or test calls we make.
- We add up the exact time of all calls in each calendar month and round that total up to the next whole minute once, at month end. Individual calls are never rounded.
- Minutes above your included amount are billed at your plan's rate. Unused minutes do not roll over. The full included amount applies to every calendar month, including a partial first month.
- We will give you a list of calls with dates and durations on request.
AI credits
- Ask Runwell, AI estimate drafting and other AI features use AI credits. Credits are usage units Runwell tracks from each AI request and the amount of AI processing (tokens) it uses.
- Your plan may include a monthly number of credits. Unused credits do not roll over. Credits used above the included amount are billed at your plan's rate, on the next bill.
- We will let you know by email when your use reaches about 80% and 100% of your included credits for the month. AI features are not switched off automatically when the included credits run out.
- We will give you an AI usage report for any month on request.
Cancelling
- 30-day money-back guarantee: if you tell us within 30 days of your first subscription payment that Runwell isn't right for you, we refund that payment in full and close your account. The refund covers the plan price, not usage above your plan's allowances or Stripe fees on payments your customers made to you. It applies once per company.
- Either of us can end your plan at any time, for any reason, with at least 30 days' written notice. Email is enough: you can write to mike@runwellbuild.com, and we will write to the email address on your account. No phone call is needed.
- You pay for the service through the end of the notice period. We refund anything you prepaid for time after that.
- A price guarantee or first term in your order form is a promise about price, not a minimum payment commitment.
Your data
- Your data is yours. Your business records, customers, leads, jobs, estimates, branding, uploaded photos and documents, call recordings, transcripts, messages and everything else you put into Runwell belong to you. We use them only to provide the service, as described in our Privacy Policy. We do not sell them, and we do not use them to train AI models.
- You can export your records at any time.
- You confirm you have the right to put the information you add into Runwell, including your customers' details.
- Do not put these in Runwell: payment card numbers, Social Security numbers, bank account numbers or health information. Do not ask callers to give them to the AI phone agent. Card and bank details for online payments are entered only on Stripe's pages and never reach Runwell.
- Call recordings and transcripts are kept for 12 months and then deleted, unless you ask in writing to keep them longer or delete them sooner.
Your company email and Google account
- Company email. You own and control your existing company email account and its messages. Runwell connects to it so your team can use the email features you allow. We do not own or host your email account, and ending your Runwell plan does not end it.
- Google. You may connect your own Google account to export records to Google Sheets and, if turned on, to back up your workspace to your Google Drive each night. You keep ownership and control of your Google account and the files in it, and we gain no rights in them. Google's terms govern how long Google keeps those files and whether they can be restored.
- Runwell's connections to your email and Google accounts end when your access to Runwell ends. Ending your plan does not cancel those accounts.
When your plan ends
- For 30 days after your plan ends, you keep read-only access to your workspace so you can view and export your data. You cannot create new projects or make other changes during that time. We will also give you an export in a standard format, such as CSV files, on request.
- After those 30 days, your access ends and we delete the copies of your data in our systems, except copies in backups, which are deleted in our normal backup cycle, and copies the law requires us to keep.
- The AI phone agent and automated calls stop when your plan ends. Your workspace's web address stops working when your access ends.
Your work and contracts with your customers
- You are the contractor. Runwell is software you use and is not a party to your estimates, contracts, change orders, invoices or jobs, or to any dispute with your customers.
- Runwell lets your customers read and sign estimates and change orders electronically. You are responsible for what those documents say and for including anything the law requires in your contracts, such as licensing details and cancellation notices for home improvement work.
- Estimates, job costs, time records and pay calculations in Runwell are tools, not professional advice. Review them before relying on them for payroll, tax, legal or financial decisions.
- Runwell does not collect or hold payments from your customers. Money your customers pay goes directly to you.
Online payments
- If you turn on online payments, your customers pay your invoices through your own Stripe account, which you open with Stripe and connect through Runwell. Stripe, not Runwell, processes the payments, and your use of it is also governed by the Stripe Connected Account Agreement and the Stripe Services Agreement. Runwell is not a bank, a money transmitter or a payment processor, and never holds or takes ownership of your money. Your bank details are kept only by Stripe.
- For each online payment, you pay the online payment rate in your plan or order form. Unless your plan says otherwise, that rate is a single total that includes Stripe's processing fees and Runwell's portion. It is deducted automatically by Stripe. Runwell does not add a separate platform fee, and nothing is added to the amounts your customers pay.
- You are the seller in every payment. You are responsible for refunds, chargebacks and disputes with your customers, and for any taxes, and you deal with them in your Stripe dashboard. Stripe decides whether to approve your account, when to pay out, and whether to hold funds.
- Runwell marks invoices paid from what Stripe reports. Your Stripe account is the official record of what was paid.
- Card surcharges and convenience fees are restricted in New York and other states. Do not add one unless the law where you work allows it and you follow its rules.
Phone numbers
- Your Runwell business number. The business phone number Runwell provides, its calls and carrier fees are included in your plan. The number is held in our phone carrier account and is provided only for your use while your plan is active. When your plan ends, we may stop service on it and release or cancel it, and we are not required to keep paying for it. This does not affect any number-transfer rights the law does not allow us to waive.
- Your own existing number. If you forward your existing business number to Runwell, you keep all your rights to it and we gain none. You remain responsible for its carrier service, call forwarding and your carrier's charges. You authorize us to verify that number with our phone provider and to place calls for you that show it as the caller ID. That authorization ends when your plan ends.
- Text messaging. Texting is added once carrier registration (A2P 10DLC) is approved. You will provide the business information needed to register, such as your legal business name and EIN. Until then, the business number is used for calls only.
Calls, texts and email to your customers
- Calls handled by the AI phone agent may be recorded and transcribed to provide the service. The agent tells callers at the start of the call that it is an automated assistant and that the call may be recorded. If you change its greeting, keep that notice in it.
- The AI phone agent answers incoming calls and may place follow-up calls about your own estimates, appointments and projects to contacts you have marked OK to call. It does not make cold calls or marketing calls to people who have not done business with you.
- You are responsible for getting any consent the law requires before automated or AI calls or texts are made for you, and you will mark only contacts who have given that consent as OK to call or text. Keep a record of each consent, including the date, how it was given and what it covers, and give it to us on request.
- Give us only lawful instructions and contact information. We run the disclosure, opt-out and do-not-call controls within our control as the law requires. Neither of us will use Runwell for unlawful telemarketing, spam, unsolicited automated messages or deceptive practices, or to contact anyone who has opted out.
AI features
- Runwell uses AI to answer calls, summarize them, draft estimates, and, through the Ask Runwell assistant, make changes you ask for in your workspace.
- AI can make mistakes. Confirm important details, such as appointments, prices and quotes, directly with your customers, and review AI-drafted estimates and summaries before relying on them or sending them. We do not guarantee any number of calls, leads or sales.
- You are responsible for the accuracy of the business information, prices, availability and instructions given to the AI phone agent. Unless you approve it in writing and we set it up, the AI phone agent cannot sign contracts, approve purchases or discounts, guarantee quotes or prices, or make other binding commitments for you. Changes the assistant makes at your request, and things the phone agent tells callers or books for you within those limits, are treated as done by your business.
- Personalized drafts. You authorize us to give the AI your own past estimates, price lists, notes, photos and job records as examples when it drafts estimates and other content for you, so drafts match your usual pricing, wording and format. That material is used only for you, never to draft content for anyone else, and does not change or train any AI model.
- No training. We do not use your data, including what you put into the AI features and what they produce, to train any AI model, and we do not allow our service providers to do so. We use it only to provide, support, secure and fix Runwell for you.
New features
We may offer early or test features, marked as such. They are provided as they are, may change or end at any time, and are not covered by any promise about availability.
Service providers and other services
Runwell runs on service providers listed in our Privacy Policy. We may change them by giving you notice, as long as the service you receive is not reduced. Some features work through accounts you connect yourself, such as your email, calendar and Google accounts and your Stripe account. Those companies' own terms apply to those accounts, and Runwell is not responsible for outages or changes on their side.
Availability
Runwell relies on third-party hosting, phone, payment and AI services. We use commercially reasonable efforts to keep Runwell available and to fix interruptions promptly, but we cannot promise it will never be interrupted or error-free. We may need short maintenance windows, and will try to schedule them outside working hours.
Security incidents
If we learn of unauthorized access to your data, we will tell you without undue delay, and within 72 hours where possible, describe what happened and what data was involved, take reasonable steps to contain it, and cooperate with any notices the law requires, including under New York's SHIELD Act. If a caller shares sensitive information the AI phone agent was not meant to collect, we will delete it on request.
Runwell's software and web addresses
Runwell LLC owns Runwell, including its application, software, design, reusable templates, AI systems and configurations, the runwellbuild.com domain and every web address under it (including your workspace address), and all improvements to them. While your plan is active, you have a non-exclusive, non-transferable right to access and use Runwell for your own business. That is a right to use it, not ownership, and nothing in these terms transfers ownership of Runwell, its web addresses or its materials to you. Any domain registered in your own name stays yours. Do not copy, resell or reverse-engineer Runwell. If you send us suggestions, we may use them without owing you anything.
Disclaimer and limits
Runwell is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties not written in these terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. To the extent the law allows, we are not liable for lost profits, lost revenue, lost data, or indirect, incidental, special or consequential damages, and our total liability for all claims is limited to the fees you paid or owe Runwell for the 3 months before the event that led to the claim.
Your responsibility for claims
You will defend and cover Runwell against claims by your customers, callers or anyone else that come from your work, your contracts, the information you put into Runwell, or your calls, texts and emails to customers (including claims about consent to automated calls or texts), and from any breach of these terms by you or your team.
Keeping each other's information private
We each keep the other's non-public business information private and use it only for this agreement, except information that is already public, that the other already had, or that the law requires to be shared.
Suspension
We may suspend or close an account that breaks these terms or stays unpaid, after telling you and giving you a chance to fix it where we reasonably can. We may suspend access right away, without notice, if needed to stop fraud, abuse or a security threat, or if the law requires it. Sections that by their nature should last, such as payment owed, disclaimers, limits of liability, responsibility for claims and governing law, continue after the agreement ends.
Changes to these terms
If we change these terms in a way that matters, we will tell you at least 30 days before the change takes effect. The date at the top shows the latest version.
Governing law
These terms are governed by the laws of the State of New York. Any dispute will be handled in the state or federal courts located in Suffolk County, New York, and both of us agree to those courts.
General
These terms, together with your plan or any signed order form and our Privacy Policy, are the whole agreement between us and replace any earlier proposals or discussions. Price changes and service-provider changes made as described above take effect without a new signed agreement; other changes to a signed order form must be in writing and signed by both of us (electronically is fine). If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer your account without our written OK; we may transfer these terms if Runwell is sold or reorganized. Neither of us is responsible for delays caused by events outside our reasonable control.
